Countdown to Compliance: Minimum Capital Requirements for Insurance and Reinsurance Companies

On 5 August 2025, the Nigerian Insurance Industry Reform Act 2025 introduced new minimum capital requirements for insurance and reinsurance companies, with the National Insurance Commission issuing Guidelines to provide a framework for implementation. The Commission has now reiterated the 31 July 2026 compliance deadline, confirming that the timeline remains binding on all operators.

This newsletter highlights the key requirements under the Guidelines, including the applicable capital thresholds, the composition of admissible assets and liabilities, and the considerations for achieving compliance within the prescribed timeframe.

Why the minimum capital requirements changed

On 5 August 2025, the Nigerian Insurance Industry Reform Act 2025 was enacted. It marks a comprehensive overhaul of the country’s insurance legal architecture.

The Act repeals the long-standing Insurance Act 2003. Moreover, it consolidates previously fragmented sector-specific laws into a single, modern regulatory framework.

Four aims sit behind the reform. First, stronger regulatory oversight. Second, deeper insurance penetration. Third, better consumer protection. Finally, a more competitive and resilient market.

What the new requirements mean in practice

The Act prescribes new minimum capital requirements for insurance companies operating in Nigeria. NAICOM’s guidelines set out how those requirements apply.

Importantly, the framework leaves little room for administrative discretion. It binds all market participants equally.

Insurers, reinsurers, investors and other stakeholders should therefore take immediate and decisive steps towards compliance. NAICOM has made clear that no regulatory forbearance will follow beyond the prescribed deadline.

Next steps for the market

Affected businesses should assess their current capital position against the new thresholds without delay. Where a shortfall exists, the route to closing it takes planning.

Consequently, recapitalisation options, shareholder approvals and transaction timelines all need early attention.
